You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use only. This license does not include:

  • Any collection and use of any product listings, descriptions, or prices
  • Any derivative use of the Site or its contents

You represent and warrant that you own or otherwise control all of the rights to the User Content that you post; that the User Content is accurate; that use of the User Content you supply does not violate any provision of these Terms; and that the User Content will not cause injury to any person or entity.

Piada takes no responsibility and assumes no liability for any User Content posted by you or any third party. Piada reserves the right, but has no obligation, to monitor and edit or remove any activity or content at our sole discretion.


7. Payment Terms

All orders placed through our Site are subject to acceptance and availability. We reserve the right to refuse any order at our discretion. If we decline an order, we will attempt to notify you using the contact information provided at the time of ordering.

Prices for products are subject to change without notice. We shall not be liable to you or any third party for any price change, suspension, or discontinuation of any product or service. All prices displayed on the Site are in United States Dollars (USD).

  • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE
  • THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS
  • ANY ERRORS IN THE SITE OR SERVICES WILL BE CORRECTED

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIADA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Any conduct or content of any third party on the Site
  • Any content obtained from the Site
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any food allergy, illness, or health complication arising from consumption of our products

IN NO EVENT SHALL PIADA'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO PIADA IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Piada and you. Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so the above limitations may not apply to you in their entirety. In such jurisdictions, Piada's liability shall be limited to the greatest extent permitted by applicable law.


13. Indemnification

You agree to defend, indemnify, and hold harmless Piada and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Site or services in a manner not expressly permitted by these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Your violation of any applicable federal, state, or local laws or regulations
  • Any User Content you submit, post, or otherwise make available through the Site
  • Your negligence or willful misconduct
  • Any false or misleading information you provide to Piada

Piada reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Piada is registered and operates, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of competent jurisdiction in the applicable state. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms are subject to applicable federal laws, including:

  • The Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., governing unfair or deceptive acts and practices
  • The CAN-SPAM Act, 15 U.S.C. § 7701 et seq., governing commercial electronic mail
  • The Computer Fraud and Abuse Act (CFAA), 18 U.S.C. § 1030
  • The Americans with Disabilities Act (ADA) as applicable to digital accessibility
  • The California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), as applicable to California residents
  • All applicable food safety regulations enforced by the U.S. Food and Drug Administration (FDA)

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Piada at [email protected] and provide a written description of the dispute, including your name, contact information, and a description of the issue. The parties agree to attempt to resolve the dispute informally for a period of thirty (30) days from the date of the written notice. During this period, neither party shall initiate formal legal proceedings except to seek emergency injunctive or other provisional relief.

15.2 Binding Arbitration

If the parties are unable to resolve the dispute through informal means within the thirty (30) day period, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, before a single arbitrator.

The arbitration shall be conducted in English and the seat of arbitration shall be determined based on the applicable AAA rules. Judgment on the arbitration award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

15.3 Class Action Waiver

YOU AND PIADA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Piada agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

15.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency equitable relief before a court of competent jurisdiction in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this arbitration provision.

Additionally, claims of defamation, violation of the Computer Fraud and Abuse Act, and infringement or misappropriation of the other party's patent, copyright, trademark, or trade secrets shall not be subject to this arbitration agreement.


16. Term and Termination

These Terms shall remain in full force and effect while you use the Site and/or services. Piada may, in its sole discretion, at any time and for any reason:

  • Suspend or terminate your access to all or any part of the Site
  • Deactivate or delete your account and any related information
  • Discontinue any service, feature, or portion of the Site

Grounds for termination may include, but are not limited to, your violation of any provision of these Terms, conduct that Piada believes is harmful to other users, third parties, or the interests of Piada, or for any other reason at Piada's sole discretion.

Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If a court finds that the class action waiver in Section 15.3 is unenforceable with respect to any particular claim, then that claim may proceed in court as a class action, but all other claims shall still be subject to binding arbitration as provided herein.


19. Waiver

No failure or delay by Piada in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. No waiver by Piada of any breach or default of any of these Terms shall be deemed a waiver of any subsequent breach or default, and shall not affect the other terms of these Terms.


20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Piada on the Site, shall constitute the entire agreement between you and Piada concerning the Site and services. These Terms supersede all prior and contemporaneous agreements, representations, warranties, and understandings with respect to the Site and services, and the subject matter of these Terms.

No amendment to these Terms shall be effective unless it is in writing and signed by an authorized representative of Piada, or posted on the Site in accordance with Section 17.


21. Force Majeure

Piada shall not be liable for any failure or delay in performing its obligations hereunder to the extent such failure or delay is caused by circumstances beyond Piada's reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government actions, war, terrorism, labor disputes, power failures, internet disruptions, or other force majeure events.
